Welcome to Automagica. By accessing or using our logistics automation platform and related services (collectively, the "Services"), you agree to be bound by these Terms of Use. If you do not agree to these terms, please do not use our Services.

These Terms constitute a legally binding agreement between you and Automagica Co., Ltd. ("Automagica", "we", "us", or "our").

2. Description of Services

Automagica provides an intelligent logistics automation platform that includes:

• Real-time shipment tracking and visibility solutions
• Automated data collection and processing from multiple sources
• AI-powered predictive analytics and insights
• Workflow automation and business process optimization
• Integration APIs and developer tools
• Reporting and dashboard analytics

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice.

3. User Accounts and Registration

To access certain features of our Services, you may need to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your login credentials confidential and secure
• Notify us immediately of any unauthorized access to your account

All content, features, and functionality of the Services, including but not limited to software, algorithms, text, graphics, logos, and trademarks, are owned by Automagica or its licensors and are protected by international copyright, trademark, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your internal business purposes.

You retain all rights to the data you input into the Services ("Customer Data"). By using our Services, you grant us a license to process and analyze Customer Data solely to provide and improve the Services.

6. API Usage and Integration

If you use our API services, you agree to:

• Comply with our API documentation and usage guidelines
• Not exceed rate limits or attempt to circumvent usage restrictions
• Implement appropriate security measures to protect API credentials
• Use the API only for legitimate business purposes
• Not resell or redistribute API access without our written consent

7. Fees and Payment

Certain Services may require payment of fees. You agree to:

• Pay all applicable fees as described in your subscription plan
• Provide accurate and complete billing information
• Authorize us to charge your payment method for all fees incurred
• Pay any applicable taxes in addition to the subscription fees

All fees are non-refundable unless otherwise stated. We reserve the right to change our pricing with 30 days' notice.

We strive to maintain high availability and performance of our Services. However, we do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance with reasonable advance notice.

For enterprise customers, specific service level agreements (SLAs) may be provided in separate commercial agreements.

Our Services may integrate with or link to third-party services, websites, or applications. We are not responsible for the content, privacy practices, or terms of use of any third-party services.

Your use of third-party services is governed by their respective terms and policies.

11. Warranties and Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Services will meet your requirements, be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUTOMAGICA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability shall not exceed the amount you paid to us for the Services in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Automagica and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

14. Term and Termination

These Terms remain in effect while you use the Services. Either party may terminate your account at any time for any reason.

We may immediately suspend or terminate your access if you violate these Terms or engage in fraudulent or illegal activities.

Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination will survive, including intellectual property rights, disclaimers, and limitations of liability.

15. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the Republic of Korea, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Services shall be resolved exclusively in the courts located in Seoul, Republic of Korea.

16. Changes to Terms

We may modify these Terms at any time by posting the updated version on our website. We will provide notice of material changes via email or through the Services.

Your continued use of the Services after changes take effect constitutes acceptance of the modified Terms.

17. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy and any additional agreements, constitute the entire agreement between you and Automagica.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

Waiver: No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
